Partner Terms & Conditions

The term of this Agreement will begin upon our acceptance of your Partner application and will end when terminated by either party. Either party may terminate this agreement at any time, with or without cause, by giving the other party written notice of termination. You are only eligible to earn referral fees on sales occurring during the term.

If no referrals are received within a 12 month period, Paystream reserves the right to terminate the Partner Agreement.

Paystream retains sole discretion to set and vary from time to time the fees it charges, subject to any restrictions therein.

Commission Payments
Paystream will pay to the Partner a Commission calculated by multiplying the agreed Commission Rate to any amounts invoiced to the Client for payment gateway fees in any given calendar month. The Commission will be paid by direct bank deposit into the bank account, the details of which are submitted in the Partner Application Form. Commission payments will be made in the month following the month in which the Invoices were rendered. Paystream may withhold, in its absolute discretion, a Commission payment or any part thereof until such time as payment of the Invoices is received by Paystream. In the event a Commission is paid and the Invoices to which the Commission relates is not, Paystream may deduct the applicable Commission from any future Commission payment and if no such payment takes place, can recover such Commission from the Partner.

Commissions are paid out after the amount to be paid reaches $100 or more. Amounts owing under this figure will be carried forward to the next calendar month until commissions have accumulated to the $100 threshold.

Paystream is not liable for, and the Partner indemnifies Paystream from and against, any damage or loss (including all direct and indirect damages, losses, costs and expenses) incurred by the Partner or Client after the Services have been provided, except to the extent that such damage or loss is a direct result of Paystream's express instructions.

Fraudulent or other unacceptable behaviour as defined by Paystream can result in termination of partner/client relationship or termination of partner account entirely without notice to, or recourse for, the Paystream Partner.

The Partner can terminate this Agreement at any time, with or without cause, effective immediately upon notice to Paystream.

We may modify any of the terms and conditions contained in this agreement, at any time and in our sole discretion. If the Partner does not agree to any such update, they may terminate this Agreement within 30 days of the update being published.

Applicable Laws
This Agreement shall be deemed to be made in the State of South Australia and shall in all respects be interpreted, construed, and governed by and in accordance with the laws of South Australia, exclusive of the laws relating to conflict of laws. You may not assign this Agreement, by operation of law or otherwise, without our prior written consent. Subject to that restriction, this agreement will be binding on, inure to the benefit of and be enforceable against the parties and their respective successors and assigns. Our failure to enforce strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement.
